Merchant Terms of Service & Autonomous Agent Liability Agreement
Critical Notice on Autonomous Agents & Algorithmic Pricing:
By connecting a storefront, deploying concierge webhooks, configuring markdown discount guardrails, or accessing the CATWOA Platform, you expressly acknowledge that you retain administrative control and commercial responsibility for configuring and supervising your pricing, inventory rules, and negotiation boundaries. The Platform executes autonomous negotiation runtimes strictly within your configured guardrails.
1. Scope, Platform Roles & Authority
These Terms of Service (“Terms”) govern access to and usage of the CA2A Autonomous Storefront Concierge Platform (“Platform”), operated by CA2A Technologies Inc. (“CA2A”, “we”, “our”). These Terms apply to commercial merchants, store operators, and developers (“Merchant”, “you”) who connect storefronts, ingest product catalogs, or deploy agent discovery protocols.
By creating a merchant account, installing a CA2A application proxy, or integrating machine discovery files (including /.well-known/agent.json or /llms.txt), you represent and warrant that you possess full corporate and legal authority to bind your business organization to these Terms.
2. Merchant Responsibility for Rule Books, Feeds & Pricing Guardrails
The Platform provides autonomous agent-to-agent negotiation runtimes that interact with external AI buyer agents. The Merchant maintains absolute administrative authority and supervisory responsibility over:
Configuring acceptable minimum profit margins, maximum unit discount caps, and bundle packaging formulas in the Rule Book (rulebook.json).
Reviewing, testing, and approving or rejecting automated rule recommendations produced by the Rule-Maker Studio agent.
Ensuring stock feeds, inventory levels, reservation hold durations, and product availability reflect actual merchant operational capacity.
Complying with all applicable local, national, and international fair trading, advertising, and consumer disclosure regulations in the jurisdictions where the Merchant conducts business.
All responses and proposals produced by the Concierge API (including endpoints at /packages/quote and /api/v1/concierge/negotiate) represent temporary, non-binding price quotes and conditional reservation holds (invitations to treat).
The commercial transaction lifecycle operates through the following clear stages:
Discovery & Negotiation: AI buyer agents discover store concierge protocols and negotiate order packages within merchant-configured guardrail limits.
Non-Binding Reservation Hold: The Platform issues an ephemeral 60-minute reservation token (res_...) securing proposed package discounts and stock holds.
Customer Review: The customer or authorized purchasing agent reviews the final itemized basket and proceeds through secure checkout.
Binding Contract Formation: A legally binding commercial purchase contract is formed exclusively when the Merchant checkout system verifies payment credentials and issues an official Order Confirmation.
4. B2B Allocation of Risk & Limitation of Liability
To the maximum extent permitted by applicable law, CA2A Technologies Inc., its officers, directors, employees, and software licensors shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profits, inventory stock-outs, pricing errors resulting from third-party agent loop failures, or business interruption.
CA2A’s aggregate cumulative liability arising out of or related to these Terms shall not exceed the total software licensing fees paid by the Merchant to CA2A in the three (3) months preceding the event giving rise to liability.
B2B Scope Clarification: This liability limitation is an agreed commercial allocation of risk strictly between the Merchant and CA2A Technologies Inc. Nothing in this clause limits, waives, or impairs any non-waivable statutory rights of consumers under applicable consumer protection legislation.
5. Governing Law & Commercial Arbitration
These Terms and any dispute or claim arising out of or relating to them or the Platform shall be governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to its conflict-of-laws principles.
Any controversy or claim arising between the Merchant and CA2A shall be determined by final and binding commercial arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall be conducted by a single independent arbitrator in the English language, with seat in Wilmington, Delaware (or conducted remotely via secure electronic proceedings). Judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof.
Consumer Purchase Notice: These terms govern merchandise purchases made by consumers through independent merchant storefronts operating on or connected to the CA2A platform. Each merchant storefront operates independently as the merchant of record for its catalog.
1. Orders & Contract Formation
When you place an order through this storefront (either directly or via an authorized AI buyer agent), your submission constitutes an offer to purchase the specified merchandise. A legally binding purchase contract is formed when you receive an official Order Confirmation email with an assigned order number and itemized receipt.
The merchant reserves the right to decline, cancel, or limit any order prior to dispatch for reasons including product unavailability, identified typographical pricing errors, or failure to pass automated payment fraud verification. If an order is canceled prior to dispatch, all pre-authorized amounts are promptly released or refunded.
2. Pricing, Taxes & Payment Methods
Accepted Payment Methods: Storefront checkouts accept major credit and debit cards (Visa, MasterCard, American Express), approved digital wallets (Apple Pay, Google Pay), and verified payment gateways. Payment is authorized at checkout and captured upon order processing.
Taxes & Transparent Currency: All prices are displayed in the stated local currency. Applicable sales tax, VAT, and carrier freight charges are itemized and clearly displayed before you finalize payment. For cross-border orders, any applicable customs duties or import taxes assessed by the destination country are the responsibility of the recipient unless explicitly stated otherwise at checkout.
3. Shipping, Title & Delivery
Orders are typically dispatched within 1–3 business days. Estimated transit windows (e.g. 3–5 business days for standard delivery) are carrier transit estimates and are not guaranteed delivery deadlines.
Risk of loss and title to merchandise pass to the customer upon confirmed physical delivery by the logistics carrier to the designated delivery address. If tracking indicates delivery but your parcel cannot be located, contact customer support within 5 business days to initiate a carrier investigation.
4. Order Cancellations Prior to Dispatch
You may cancel your order at any time prior to warehouse packaging and courier dispatch by contacting customer support with your order number. Once an order has been packaged and dispatched into the courier stream, it cannot be canceled mid-transit and must be processed under our standard Returns & Refunds procedure upon receipt.
5. Product Warranties & Commercial Conformity
The merchant warrants that all delivered goods conform in all material respects to their published specifications, are of satisfactory commercial quality, and are free from material manufacturing defects at the time of delivery.
Statutory Consumer Rights: The merchant's commercial warranties exist alongside, and do not limit, replace, or exclude, any non-waivable statutory warranties and legal conformity rights guaranteed to consumers under applicable local consumer protection laws (including EU statutory conformity warranties and UK Consumer Rights Act provisions).
Privacy & Data Protection Commitment: We respect your fundamental privacy rights. We do not sell your personal data or share your personal data with third-party data brokers for cross-context behavioral advertising.
1. Roles & Data Controller Identification
This Privacy Policy explains how personal information is collected, processed, and secured:
CA2A Technologies Inc.: Acts as the Data Controller for merchant administrative accounts, developer portal credentials, and platform infrastructure telemetry.
Merchant Storefront: When processing consumer orders placed through a connected storefront, CA2A operates as a Data Processor acting under the instructions of the respective Merchant (the Data Controller).

2. Categories of Information Collected
Order & Contact Details: Full name, shipping address, billing address, email address, and contact telephone number provided during checkout.
Transaction & Billing Records: Payment method token, card brand, transaction ID, order history, and billing records. Raw credit and debit card numbers are processed directly by PCI-DSS Level 1 certified payment processors and are never stored on our servers.
Autonomous Agent Telemetry: Anonymized AI buyer agent identifiers, negotiation session tokens, query criteria, and reservation hold records necessary to execute price holds and prevent infinite loop exploits.
Technical & Device Data: IP address (utilized for fraud screening and regional tax calculation), browser type, user-agent string, and essential session identifiers.
3. Lawful Bases for Processing (GDPR / UK GDPR)
Under the General Data Protection Regulation (GDPR) and UK GDPR, personal data is processed strictly under valid lawful bases:
Performance of a Contract (Art. 6(1)(b)): Processing necessary to fulfill purchase orders, coordinate shipping, and maintain active price holds.
Legal Compliance (Art. 6(1)(c)): Retaining transaction and accounting records to comply with statutory tax, invoicing, and audit requirements.
Legitimate Interests (Art. 6(1)(f)): Protecting systems against fraud, preventing prompt injection attacks, and securing API endpoints.
Where data is transferred internationally outside the European Economic Area or United Kingdom, transfers are safeguarded through Standard Contractual Clauses (SCCs) approved by the European Commission.
4. California Consumer Privacy Statement (CCPA / CPRA)
California residents hold specific statutory rights under the California Consumer Privacy Act, as amended by the CPRA:
Notice at Collection: We collect personal identifiers, commercial transaction records, and internet activity as detailed above for genuine operational business purposes.
No Sale or Sharing: We do not sell personal information and do not share personal information for cross-context behavioral advertising.
Consumer Rights: You hold the right to know what personal data is collected, the right to request deletion, the right to correct inaccurate records, and the right to non-discrimination for exercising your statutory privacy rights.
5. Israeli Privacy Protection Law (5741-1981)
Personal data processed in connection with Israeli operations is safeguarded in accordance with the Israeli Privacy Protection Law 5741-1981 and the Privacy Protection Regulations (Information Security) 5777-2017. Data subjects hold the statutory right under Section 13 to inspect personal data stored in our databases, and under Section 14 to request amendment or deletion of incomplete or inaccurate records.

We utilize strictly essential session cookies and local browser storage to maintain active shopping carts, preserve price hold reservation tokens, and remember UserWay accessibility settings. We do not deploy third-party advertising cookies or cross-site tracking pixels.

Returns & Refunds Policy (14-Day Standard Window): We are committed to customer satisfaction. Below are our standard return guidelines alongside statutory cooling-off and withdrawal rights.
1. Voluntary Store Return Policy
In addition to your statutory rights, customers may initiate a return for eligible merchandise within 14 calendar days of confirmed delivery, provided:
Merchandise is in its original, unused, and undamaged condition with all original tags, labels, and protective packaging intact.
Accompanied by proof of purchase (order confirmation number or packing receipt).
Items marked as "Final Sale" or custom-manufactured goods are excluded from voluntary return unless defective upon arrival.
2. Statutory Consumer Cancellation Rights

Our voluntary return policy operates without prejudice to statutory rights that apply in your jurisdiction:
European Union & United Kingdom: Under EU Directive 2011/83/EU and the UK Consumer Contracts Regulations, consumers hold a statutory right of withdrawal within 14 calendar days of physical delivery without stating any reason, receiving a full refund including standard outbound delivery charges.
State of Israel: Under the Israeli Consumer Protection Law 5741-1981, consumers may cancel distance sales transactions within 14 calendar days of receipt (or within 4 months for senior citizens, new immigrants, or individuals with disabilities). In the case of non-defect cancellation, the merchant may collect a statutory cancellation fee of 5% of the transaction value or 100 ILS, whichever is lower.
Defective or Non-Conforming Goods: If merchandise arrives defective, damaged, or non-conforming, statutory remedies (free repair, replacement, or full refund with zero cancellation fees and free return shipping) apply across all jurisdictions.
3. Reporting Damaged or Discrepant Deliveries
Please inspect your shipment upon delivery. If your package arrives visibly damaged or items are missing, we request that you notify customer support at support@ca2a.ai within 48 hours of delivery with clear photographs of the packaging and damage.
Operational Notice: Prompt 48-hour notification enables us to immediately file freight insurance claims with logistics carriers and dispatch an expedited replacement. This operational request is not a limitation or waiver of any non-waivable statutory defect or warranty rights you hold under consumer protection laws.
4. Step-by-Step Return Process
Initiate Request: Email customer support at returns@ca2a.ai with your order ID and the item SKU you wish to return.
RMA Authorization: Our team will issue a Return Merchandise Authorization (RMA) and designated return fulfillment center address within 24 business hours.
Ship Merchandise: Pack items securely and ship via a tracked courier service.
Inspection & Refund: Following physical arrival and condition verification at our fulfillment hub, refunds are credited back to your original payment method within 5–10 business days.
